The Nasdaq listing, answered.

Nasdaq has issued a delisting determination against Zentek on the US$1.00 minimum bid price requirement — here is what that changes, what it does not, and what, if anything, you need to do.

In one sentence, what happened?

Regaining compliance required a closing bid of at least US$1.00 for ten consecutive business days within that window. That condition was not met.

Am I going to lose my shares?

No. You own the same number of shares today that you owned yesterday. A listing is where a share trades. It is not what a share is.

Can I still buy and sell?

Yes. Our shares trade on the TSX Venture Exchange under ZEN, and that listing is unaffected. It is our primary listing.

I’m in Canada. What do I do?

Nothing. Your broker trades ZEN on the TSX Venture Exchange the same way it always has.

I’m in the United States. What do I do?

First, you can hold and trade the TSX Venture line through a broker with Canadian market access. Second, once Nasdaq trading is suspended, our shares are expected to be quoted in the United States over the counter. The symbol is expected to be different from ZTEK. If you search ZTEK after that date and find nothing, that is why. We will publish the exact symbol as soon as the exchange provides it.

Do I need to do anything with my broker?

No. You do not need to move your account, sell, re-register, or fill in a form.

What is a “delisting determination”?

A letter from Nasdaq saying a company no longer meets a listing rule and its shares are subject to removal from the exchange. It is a step in a process, not the end of one.

What is a “Hearings Panel”?

An independent panel inside Nasdaq that hears a company’s case. A company that receives a determination can request a hearing. We intend to request one.

Does asking for a hearing stop trading being suspended?

Not in our situation. There is a specific Nasdaq rule that removes that protection where the company was in a second 180-day compliance period, which is where we were. Requesting a hearing does keep us registered with the U.S. Securities and Exchange Commission and does keep us filing there.

So what is “over the counter”?

A U.S. market where shares trade through broker-dealers rather than on a stock exchange. Trades are real and prices are real, and the broker-dealers involved are regulated. It is less visible than Nasdaq: some brokerage screens, screening tools and data feeds cover it less well than they cover an exchange listing.

Which part of the over-the-counter market will Zentek be on?

The OTC market has tiers. We have applied for the top one, OTCQX, and we have paid for the application to be reviewed on an expedited basis. Applications take time to process and we cannot control how long. If the approval is not in hand on the first day of quotation, our shares will be quoted on a lower tier until it is, and we will say which one. We will publish the tier and the symbol before the first day, not after.

When will trading transition to OTC?

We expect trading to be live on OTC on September 2, 2026 at the opening bell, and to transition further to OTCQX shortly thereafter.

Will Zentek get back on Nasdaq?

We are not going to predict that, and you should be careful with anyone who does. Any step we take on the listing is something we have to disclose publicly, and you will read it from us on the day we take it.

Are you doing a reverse split / share consolidation?

Anything of that kind is a disclosure event, and where shareholder approval is required, it would be put to shareholders in a circular ahead of a meeting. We are not going to get ahead of that. If it is proposed, you will receive the full document, in advance, with time to read it and most importantly to vote.

Does this affect the Albany project?

No. The deposit, our ownership of it, the environmental and community work, and the PEA results we announced on August 10 are all unaffected.

Does this affect ZenGUARD or the customer order?

No. Our customer buys filtration media. None of the commercial work is conditioned on which exchange our shares trade on.

Does this affect the money you raised in May?

No. That financing closed on May 27 for gross proceeds of C$18.0 million. Our cash position is reported in our quarterly financial statements, which are filed on SEDAR+ and EDGAR.

Does this mean the company is in trouble?

It means our share price did not meet a specific Nasdaq threshold. That is a share price fact. It is not a statement about the assets, the technology, the balance sheet or the work. We would rather you judged us on the dated record since December 1, which is published and which you can check.

My broker’s screen shows something different / says the security is restricted. What now?

Email us at info@zentek.com with the broker’s name and what the screen says. We are tracking this, and where a broker or a data provider has it wrong we go and get it fixed.

We believe three structural conditions have converged simultaneously: geopolitical tailwinds, commercially-ready science, and a proven model.

Condition 01

Geopolitical tailwinds

Export licensing restrictions introduced in 2023 triggered over $1.8B in North American capacity announcements. Emerging pathogen threats have put significant US government biosecurity funding in play. Supply chain sovereignty is now a national security mandate across all Five Eyes nations: written into procurement frameworks, not just policy papers.

Condition 02

The science is ready

Thirty years of aptamer research is now commercially deployable for the first time. Triera has the team and the IP that makes that possible. Graphene coatings are moving from laboratory to industrial scale. Albany graphite has demonstrated bench-scale purity results consistent with published nuclear-grade thresholds, through independent testing. These are not projections: they are published, peer-reviewed, independently verified results.

Condition 03

The model is proven

The client-funded CRO model - industry brings the problem, Zentek develops the solution and owns the IP - has created multi-billion dollar companies in pharma (Charles River, ICON) and specialty materials (NanoXplore, Aptamer Group). Non-dilutive government funding can potentially offset R&D costs. No manufacturing capex required.
